SESSION 2 Negotiating and Structuring International Distribution Contracts Wednesday February 24, 2010 8:30 AM Registration and coffee and pastries 9:00 AM to 12:00 PM seminar Many exporters rely heavily on partners, such as distributors or agents, to generate sales in overseas markets. For exporters, effectively negotiating and structuring contracts with these partners is critical for achieving profits and growth while minimizing confusion, disputes and poor performance in overseas markets. This seminar will provide guidance for negotiating and structuring contracts with overseas partners, ensuring that the best interests of the exporter are protected. This program will include real-world examples and best practices from one of the region’s leading exporters – New Balance Athletic Shoe, Inc. and legal do's and don'ts from an experienced international contracts attorney. Specific issues to be discussed: - Achieving a win-win agreement and relationship with your overseas partners - Using exclusivity as a motivational tool - Protecting yourself against underperforming partners - Getting buy-in from exporter top management and overseas partners - Setting sales and performance requirements - Understanding legal issues and dispute resolution
